Terms of Service
Terms of access and use of the KairoProject platform, published by Matthieu Guillon EI.

1. Purpose
These Terms of Service define the conditions of access to and use of the KairoProject platform, published by Matthieu Guillon EI, available online as a SaaS solution for project management purposes, in individual or organisation mode.
2. Acceptance and Scope
Use of KairoProject implies acceptance of these Terms of Service.
For business customers subject to a contract, signed quotation, or specific conditions, those specific documents take precedence over these Terms of Service in the event of any conflict.
3. Access to the Service and User Account
- Access to the service is reserved for persons who are of legal age (18 years or older) or for professionals acting in the course of their business on behalf of an entity. Minors may not subscribe to or use the service without the express consent of their legal representative.
- The user must provide accurate, current, and complete information.
- The user is responsible for maintaining the confidentiality of their credentials and for all actions carried out from their account.
- KairoProject may impose reasonable verification measures, usage restrictions, or security controls where necessary to protect the service, its data, or other users.
- Free or trial accounts remain subject to normal and reasonable usage.
4. Subscriptions, Billing and Free Trial
Free Trial
Every new account benefits from a 14-day free trial, with no credit card required. During the trial, access is equivalent to the Starter plan (1 portfolio, up to 5 projects). At the end of the trial period without subscribing, access to creating new projects and portfolios is suspended; existing data remains accessible in read-only mode.

Payments are processed by Stripe. Invoices are available for download from the billing portal.
Payment
Payments and invoices are processed by Stripe, Inc., certified PCI-DSS Level 1. Card data is entered and stored exclusively by Stripe; KairoProject has no access to it and does not store it on its own infrastructure.
Renewal and Cancellation
- Subscriptions renew automatically at the end of each billing period (monthly or annual), unless cancelled beforehand from the billing portal.
- Cancellation terminates renewal for the following period. Access remains active until the end of the period already paid for.
- No pro-rata refund is issued for the current period, except in cases of verified technical error or duplicate billing (requests must be submitted to support@kairoproject.com within 30 days).
- In accordance with Article L221-28 of the French Consumer Code, the 14-day right of withdrawal does not apply to digital services whose performance has begun with the user's express consent before the end of the statutory period. By subscribing, the user acknowledges that performance begins immediately.
Failed Payment
In the event of a failed automatic charge, a notification email is sent. Reminders are sent at D+3 and D+7. Access may be suspended after several unsuccessful attempts.
Data Retention After Cancellation
Following the end of a subscription, data is retained for 90 days. The user may export their data during this period from the account settings. After 90 days, data is permanently and automatically deleted. Voluntary account deletion triggers an immediate purge of active application data, regardless of subscription status. Accounting and billing data is retained in accordance with applicable legal obligations (10 years for accounting documents).
Data Portability
Users may at any time export all of their data (portfolios, projects, resources, tasks) from the account settings. For organisations, the full export is reserved to the owner. The export file is available for download for 24 hours after it is generated.
5. Hosted Data and Confidentiality
- The application data of the service is hosted within the Firebase / Google Cloud infrastructure used by KairoProject, in particular Firestore for the primary database.
- KairoProject implements access controls, export and deletion mechanisms, and audit logging for sensitive operations.
- Other users have no access to a company's data beyond the rights explicitly granted to them.
- The publisher retains strictly governed technical administrator access for legitimate support, maintenance, security, abuse prevention, and legal compliance purposes.
- KairoProject commits not to access a customer's hosted data outside of these legitimate purposes, and not to disclose it to third parties without the customer's prior consent, unless required by law or court order.
- The conditions governing the processing of personal data are detailed in the Privacy Policy and associated GDPR documents.
6. Backup, Export and Restoration
- KairoProject provides data export mechanisms for certain service data, in particular for organisations where an export function is available for the relevant workspace.
- The backup and restoration of the data infrastructure relies primarily on the capabilities and services operated on Firebase / Google Cloud.
- KairoProject implements reasonable operational, verification, and restoration procedures in light of its architecture, but does not guarantee instantaneous recovery or a perfect restoration to the exact state preceding any incident.
- Where the customer deems it necessary for their own business continuity, they remain responsible for performing and retaining their own exports or working copies using the features made available.
7. AI, Predictions and Functional Limitations
Important
Outputs from AI or ML functions must be verified, interpreted, and validated by the user before any business, contractual, operational, or financial decision is made.
KairoProject integrates generative artificial intelligence features (AI assistant, project plan generation, task suggestions) and algorithmic prediction models (delay risk estimation, task durations). These features are exclusively decision-support tools.
- Outputs are indicative and based on data provided by the user. Their relevance depends directly on the completeness and accuracy of the information entered.
- Algorithmic predictions (delay risk, duration estimates) are probabilistic in nature. They express a statistical estimate, not a certainty.
- Generative AI features rely on third-party models (including OpenAI). KairoProject does not guarantee the accuracy, completeness, currency, or absence of bias in content produced by these models.
- The user remains the sole judge and bears sole responsibility for interpreting results and for any decision made on that basis, whether relating to planning, resource management, budget commitments, contractual negotiations, or any other managerial or strategic decision.
- KairoProject shall not be held liable for direct or indirect consequences arising from decisions made on the basis of suggestions, analyses, plans, or predictions produced by the AI or algorithmic features, including in cases of inaccuracy, temporary unavailability, or error in the underlying model.
- In accordance with Regulation (EU) 2024/1689 on artificial intelligence (the AI Act), KairoProject informs users when they interact with an AI system. Contents, suggestions, and predictions produced by these systems are identified as such within the platform interface.
8. Permitted and Prohibited Uses
The user retains ownership of the content they import or enter into the service.
The user authorises KairoProject to host, store, process, and transmit such content to the extent necessary for the provision of the service, platform security, support, maintenance, and compliance with legal obligations.
The following are expressly prohibited:
- use of the service for purposes contrary to applicable laws and regulations;
- importing, storing, or distributing unlawful content;
- attempts to gain unauthorised access, circumvent security controls, or perform mass data extraction;
- use of the service in a manner likely to damage, disrupt, or compromise its normal operation.
9. Service Availability
- KairoProject is provided on a best-efforts basis.
- The publisher may temporarily interrupt access to the service for maintenance, updates, corrections, security measures, or infrastructure upgrades.
- In the event of an incident, KairoProject will make reasonable efforts to restore the service to normal operating conditions.
- No guarantee is given as to uninterrupted availability, the complete absence of errors, or the complete absence of incidents affecting data or processing.
10. Account Suspension and Closure
KairoProject may suspend or restrict access to all or part of the service in the event of:
- a clear breach of these Terms of Service;
- fraudulent, abusive, or service-endangering use;
- a legal obligation or a request from a competent authority;
- a serious risk to the integrity of the infrastructure or the confidentiality of data.
Except where legally impossible, in cases of security emergency, or where there is an immediate risk, any suspension will be accompanied by prior or simultaneous notification.
11. Liability
- KairoProject's liability is limited to proven direct losses and to the amount actually paid by the user over the twelve months preceding the causative event, unless otherwise required by mandatory law.
- KairoProject shall not be held liable for any service interruption, performance degradation, or data loss resulting from an incident attributable exclusively to a third-party provider (including Firebase, Google Cloud Platform, Stripe, Vercel, Resend, or OpenAI), a network or infrastructure failure beyond its direct control, a malicious act targeting such infrastructure, or an event constituting force majeure within the meaning of Article 1218 of the French Civil Code.
- KairoProject implements reasonable service continuity measures, including regular backups and an architecture relying on redundant providers, without being able to guarantee absolute availability or complete data integrity in the event of a failure of the underlying third-party infrastructure.
- Under no circumstances shall KairoProject be held liable for indirect losses, including loss of business, loss of revenue or turnover, lost profits, loss of opportunity, reputational harm, or commercial prejudice, of any nature or cause, even if KairoProject has been informed of the possibility of such losses.
- This limitation does not apply in cases of gross negligence, wilful misconduct, or where the law prohibits such a limitation.
12. Intellectual Property
The code, trademarks, graphic elements, content provided by KairoProject, and, more generally, all constituent elements of the service remain the exclusive property of the publisher or its partners.
These Terms of Service do not transfer any intellectual property rights to the user, beyond the right of use strictly necessary for normal use of the service.
13. Personal Data Protection
The conditions governing the collection, use, retention, export, and deletion of personal data are detailed in:
- the Privacy Policy;
- the GDPR documents made available by KairoProject;
- where applicable, the specific contractual terms agreed with the customer.
14. Service and Terms Evolution
KairoProject may update the service, its features, integrations, infrastructure, and these Terms of Service, in particular to reflect legal, technical, security, or commercial developments.
For any material change to these Terms of Service (pricing, data access conditions, limitation of liability), KairoProject commits to notifying active users at least 30 days in advance, by email or in-platform notification. Continued use of the service after this period constitutes acceptance of the new version. Users who do not accept the changes may cancel their subscription in accordance with Section 4.
The version in force is the one published at the time of consultation or notified to the user.
15. Governing Law and Jurisdiction
These Terms of Service are governed by French law.
Subject to applicable mandatory rules, any dispute relating to their interpretation, performance, or validity falls within the jurisdiction of the competent courts of Lille, France.
