Terms of access and use for the KairoProject platform, published by Matthieu Guillon EI.

1. Purpose
These Terms of Use define the conditions of access and use of the KairoProject platform, published by Matthieu Guillon EI, available online as a SaaS tool for project management purposes, in individual or organization mode.
2. Acceptance and scope
Using KairoProject implies acceptance of these Terms of Use.
For business customers subject to a contract, signed quote, or specific terms, those specific documents take precedence over these Terms of Use in the event of a conflict.
3. Access to the service and user account
- The user must provide accurate, current, and complete information.
- The user is responsible for the confidentiality of their credentials and for any actions taken from their account.
- KairoProject may apply reasonable verification measures, usage restrictions, or security controls when necessary to protect the service, data, or other users.
- Free or trial accounts remain subject to normal and reasonable use.
4. Subscriptions and billing
- The Solo Starter and Solo Pro plans are billed monthly or annually via Stripe, with automatic renewal unless cancelled before the next billing date.
- Organisation or Enterprise plans may be billed per licence, according to the commercial terms accepted by the customer.
- Unless otherwise specified in a particular offer, any started billing period remains due.
- Cancellation terminates renewal for the following period. The exact effects of subscription termination or account closure may depend on the plan type and data still present in the service.
5. Hosted data and confidentiality
- The service application data is hosted in the Firebase / Google Cloud infrastructure used by KairoProject, including Firestore for the main database.
- KairoProject implements access controls, export mechanisms, deletion procedures, and audit logs for sensitive operations.
- Other users have no access to a company's data outside the rights explicitly granted to them.
- The publisher retains a strictly framed technical administrator access for legitimate purposes of support, maintenance, security, abuse prevention, and compliance with legal obligations.
- The conditions for processing personal data are detailed in the Privacy Policy and associated GDPR documents.
6. Backup, export, and restoration
- KairoProject provides data export mechanisms for certain service data, particularly for organizations when an export function is available for the relevant workspace.
- Data backup and restoration rely primarily on the capabilities and services operated through Firebase / Google Cloud.
- KairoProject implements reasonable operational, verification, and restoration procedures given its architecture, but does not guarantee instant recovery or a perfect reconstruction of the exact state prior to any incident.
- When the customer deems it necessary for their own business continuity, they remain responsible for performing and retaining their own exports or working copies using the features made available.
7. AI, predictions, and functional limits
Important
Results produced by AI or ML functions must be verified, interpreted, and validated by the user before any business, contractual, operational, or financial decision.
- Certain KairoProject features rely on artificial intelligence, assisted generation, analysis, or prediction processing.
- These features are intended to assist the user in managing their projects. They do not constitute professional advice, a guarantee of results, or a commitment regarding the accuracy, completeness, or suitability of the outputs produced.
- KairoProject shall not be held liable for any decision made by a user based solely on a result generated, estimated, or suggested by the service.
8. Permitted and prohibited uses
The user retains ownership of the content they import or enter into the service.
The user grants KairoProject the right to host, store, process, and transmit this content to the extent necessary to provide the service, ensure platform security, provide support and maintenance, and comply with legal obligations.
The following are prohibited in particular:
- using the service for purposes contrary to applicable laws and regulations;
- importing, storing, or distributing unlawful content;
- attempting unauthorized access, circumventing security controls, or mass data extraction;
- using the service in a manner likely to damage, disrupt, or compromise its normal operation.
9. Service availability
- KairoProject is provided on a best-efforts basis.
- The publisher may temporarily suspend access to the service for maintenance, updates, corrections, security measures, or infrastructure changes.
- In the event of an incident, KairoProject will make reasonable efforts to restore the service to normal operating conditions.
- No guarantee is given regarding uninterrupted availability, the complete absence of errors, or the complete absence of incidents affecting data or processing.
10. Account suspension and closure
KairoProject may suspend or restrict access to all or part of the service in the event of:
- a clear breach of these Terms of Use;
- fraudulent, abusive, or security-threatening use of the service;
- a legal obligation or request from a competent authority;
- a serious risk to infrastructure integrity or data confidentiality.
Unless legally prevented, in a security emergency, or facing an immediate risk, suspension will be accompanied by prior or simultaneous notification.
11. Liability
- KairoProject is subject to a best-efforts obligation in the provision of the service.
- The publisher shall not be liable for indirect, intangible, or consequential damages, including loss of revenue, loss of business, loss of opportunity, reputational harm, or consequences arising from a misinterpretation of the results provided by the service.
- In the event that KairoProject's liability is established for a proven direct loss, the publisher's total liability shall, unless required otherwise by mandatory law, be limited to the amounts actually paid by the customer for the service in the twelve months preceding the event giving rise to the claim.
- This limitation does not apply in cases of gross negligence, fraud, or where the law prohibits such limitation.
12. Intellectual property
The code, trademarks, graphic elements, content provided by KairoProject, and more generally all components of the service, remain the exclusive property of the publisher or its partners.
These Terms of Use do not entail any transfer of intellectual property rights to the user, beyond the right of use strictly necessary for the normal use of the service.
13. Personal data protection
The conditions for collecting, using, retaining, exporting, and deleting personal data are detailed in:
- the Privacy Policy;
- the GDPR documents made available by KairoProject;
- where applicable, the specific contractual terms agreed with the customer.
14. Service and Terms evolution
KairoProject may update the service, its features, integrations, infrastructure, and these Terms of Use, in particular to reflect legal, technical, security, or commercial changes.
The version in force is the one published at the time of consultation or notified to the user.
15. Governing law and jurisdiction
These Terms of Use are governed by French law.
Subject to applicable mandatory rules, any dispute relating to their interpretation, performance, or validity shall be subject to the jurisdiction of the competent courts of Lille, France.
